Supplier Standard Terms & Conditions
Suppliers shall complete a Supplier Evaluation Form as required by the Waples Quality System or maintain a documented, certified Quality System, as a minimum, to remain active on our ASL (Approved Supplier List)
Right of Access
We reserve the right to review the products, procedures, processes and equipment associated with this order at all suppliers’ (and any sub-tier suppliers’) facilities used in the fulfillment of this order with appropriate notification. This right extends to our customers and all applicable regulatory agencies.
Acceptance of this order grants right of access by our organization (or designated representative), our customer, and any applicable regulatory authorities to all facilities involved in the order, as well as access to all applicable documented information, at any level of the supply chain.
Quality Management System
Suppliers shall maintain a quality management system, either certified or approved through our Supplier Evaluation, to ensure the products or services they provide meet the requirements of the Purchase Order
Flow Down Requirement
All specifications flowed out to the supplier are to be interpreted to the most current revisions unless otherwise specified. Customer specific specifications on specific processes will be detailed on the PO and/or drawing (e.g. special requirements, critical items, key characteristics).
Supplier shall use customer designated or approved external providers, including process sources. The supplier will flow down to sub tier suppliers the applicable requirements in the purchasing documents.
Documentation including but not limited to: purchase orders, invoices, C of C, raw material certifications, special process certification, inspection, and verification documentation from the supplier shall be maintained by the supplier for at least ten (10) years, and shall be made available to Waples Manufacturing upon request.
Waples Manufacturing will not accept materials designated as “Conflict Minerals” in compliance with the Dodd–Frank Act, Section 1502. These are minerals with origins from the Democratic Republic of the Congo and the adjoining 9 countries, which are South Sudan, Uganda, Rwanda, Burundi, Tanzania, Zambia, Angola, Congo and Central African Republic.
Supplier will immediately notify Waples Manufacturing if Supplier’s timely performance under the Purchase Order is delayed or is likely to be delayed.
Suppler will include with each delivery a conformance record (e.g. test, inspection, verification) showing that the purchased items / services meet specifications as well as any applicable material or special process certifications. Minimum information on the conformance record shall include the following: 1) Suppliers name, 2) Purchase order number. 3) Date, 4) Part number and/or specification numbers.
Supplier will preserve, package and handle the products to protect from loss or damage and in accordance with best commercial practices in the absence of any specifications Waples Manufacturing may provide.
Detection of a nonconforming product regarding any order (currently in work or previously shipped) must be promptly communicated to our Quality department, and obtain approval for their disposition.
Waples Manufacturing may reject any or all of the product/material which does not conform to the applicable requirements of the purchase order.
Change Controls (Supplier Changes)
Suppliers are not, under any circumstance, granted Material Review Board authority to alter the product characteristics, unless Waples Manufacturing, provides an official revised document stating the allowance of such changes. Supplier shall maintain a change control system to ensure all changes to drawings, specifications and/or test methods are incorporated per Waples Manufacturing requirements
Suppliers must notify Waples Manufacturing of any changes in processes, product and/or services, changes of suppliers and changes of manufacturing facility location.
Our organization reserves the right to approve or specify any designs, tests, inspection plans, verifications, use of statistical techniques for product acceptance, and any applicable critical items including key characteristics.
Our organization reserves the right to designate requirements for test specimens for design approval, inspection/verification, investigation or auditing.
Requirements for Qualification of Personnel
All special processes required by this PO must be performed by qualified personnel and processes must be periodically validated to ensure continued capability. Records of personnel qualifications and process validations will be made available upon request.
FOD (Foreign Object Damage/Debris)
Suppliers must have at least a basic understanding of FOD Prevention to prevent Foreign Object Debris from all parts and materials supplied to Waples Manufacturing.
If providing calibration services, you agree to be an accredited ISO 17025 lab and provide calibration certificates for each item traceable to NIST standards. NOTE: All gauges and measurement equipment sold to Waples Manufacturing MUST have a Certification of Calibration traceable to NIST.
Supplier will, at all times, refrain from engaging in any illegal, unfair or deceptive trade practices or unethical business practices. Supplier shall at its expense obtain any and all permits, licenses, authorizations, and/or certificates that may be required in any jurisdiction or by any regulatory or administrative agency in connection with its activities hereunder. Supplier shall ensure that its employees are aware of:
- their contribution to product or service conformity
- their contribution to product safety, and
- their contribution to the importance of ethical behavior
Waples Manufacturing requires its suppliers to take steps to eliminate the risk of introducing counterfeit product. We define Counterfeit product as items that are, or contain, unlawful or unauthorized reproductions, substitutions or alterations that have been knowingly mismarked or misidentified. Suppliers of raw materials/components shall insure that only new and authentic materials/components are used fulfilling POs to Waples Manufacturing.
Lockheed Martin Fort Worth Aeronautics/Missiles and Fire Control
A list of Lockheed approved processors can be accessed via the Lockheed Website:https://sqm.lmaeronautics.com/QCS001View.aspx. If unable to access this site, it is the seller’s responsibility to contact the Waples buyer for a list of approved special processors. Lockheed Martin Aeronautics approved Special Processors; in accordance with Lockheed Martin Aeronautics Appendix QJ you are required to complete the 90 day usage report on behalf of Lockheed Martin Aeronautics supplier codes = 800765331
Seller shall comply with the requirements of Lockheed Martin Aeronautics Company Quality Clause’s Appendix QX and QJ. The latest revision in effect as of the date of this P.O. is applicable. Seller shall ensure all applicable quality requirements are imposed on sub-tier suppliers and manufacturing facilities.
Specialty Metals Clause
Qualifying countries are listed in DFARS 225.872-1. The DFARS can be found on the following website: http://www.acq.osd.mil/dpap/dars/dfars/html/current/252225.htm. Supplier shall note on C.O.C. that product complies with this code.
As an AS9100 certified company, all suppliers to Waples Manufacturing must be listed on our Approved Supplier List.
